Minutes of the October 2011 Meeting

Minutes from October 27, 2011

President – vacant position
Vice President – Dave Burritt, presiding

David Burritt read an opening statement explaining the special board meeting that was called and made it clear that all board members and officers were invited. In addition, he stated the legal subcommittee met with an attorney that indicated everything the board did was not only legal but also proper.

Introduction of Guests and new faces

Approval/Correction of published minutes for previous meeting

Treasurer’s report
reported balanced as of September 2011 and approved
Motion: Purchase accounting software up to $150, voted and approved.

Social Committee report
Holiday Party is Dec. 10th at the Old Neighborhood, dinner selection will be sent out following Thanksgiving to all members. Motion: Club to pay for dinners at $32/person, voted, and approved.
MaryKay thanked the club for her plant/flowers.

Membership Committee Report
Membership dues are $80/couple and $50/single. Please pay Nancy Burritt or Cathy Schultz by November 1st.

Governor’s Report
Report was submitted and available in the newsletter
Elway Chevrolet will be celebrating the 100th Anniversary

Merchandise Committee Report
Mike and Martha resigned, all merchandise and related lists were given to the club. Martha also volunteered to help train the new committee

Autocross Report
Dave Burritt attended the TORCA Autocross and reported in the newsletter. However they did have issue with the USB port replicator for timing which delayed the race by about 3 hours.

Tim’s Challenge
Charity selection discussion was held. Motion: Funds must be given to a recognized charity, voted and approved. Tim suggested all funds be given to the National Corvette Museum. Dave will contact Tim to discuss more after discussions with the club tonight. A full audit of the funds will be done. Bring your ideas to the January meeting.
SnoBig Deal Event – Motion: Cancel SnoBig Deal Event, voted and approved. Mike Palomar will contact restaurant.

Club Annual Election
Results of club election: President – Bill Schultz, Vice-President – Mike Davis, Secretary – Joan Breher, Treasurer – Gail Krusen, Governor – Nancy Burritt, Board Member – Dave Chadwick
Old Business
Mike Davis- Dave Burritt expressed his regret to Mike Davis that the previous president responded to the clubs directive to inform Mike Davis regarding the expulsion matter (i.e., that it should be dropped) in the manner that he (the president) did. Dave further went on to express his personal embarrassment to be part of a club where a member was treated by an officer in the manner that Mike was treated and Dave further stated that hopefully everyone has learned something and no one will ever be treated like this again in DtRC.

New Business
Mike Palomar resigned as webmaster and Dave Burritt will maintain for interim.
Richard Loch resigned from all positions and was removed from the checking account. A question was asked if Richard's email met that he resigned from all position (car show, museum ambassador, etc.). Dave read Richard's resignation statement and Dave stated that he thought all meant all but would send Richard an email just to make sure. The statement Richard made to the club indicating his resignation is "With that being said I resign all positions I hold with DtRC." Richard's name was left on the ballot for president since he did not indicate that he was withdrawing his name from the election.
All vacant committee positions will be filled in January.
Legal Subcommittee – copies were handed out to everyone for review and discussion. The subcommittee was formed by board to quickly get information about domains, and non-profit corporation after correspondence from Tim Barnes. Tim will be dissolving the Tim’s Challenge Corporation and requests that all funds be donated to a charity. Suggestion to add link to Corporation’s Roles and Responsibilities be added to our website for future reference.
Motion: Reimburse Tim Barnes for domain payments made in 2011, voted and approved.
Board meeting on 10/20/2011 – all correspondence was available at the meeting for review and discussion of all items.
Motion: All boards decisions except subcommittee are affirmed on their recommendations, voted and approved.
Motion: Allow upon majority vote of board members to spend up to $2000 for legal fees until next scheduled meeting in January 2012 and if an emergency with not enough time to get a quorum of members together, voted and approved. Discussion of possible modification to by-laws for emergencies.
Motion: Term of officers are January through December, voted and approved.
Motion: Current officers just elected will take office on November 1, 2011 through December 31,2012, voted and approved.
Motion: No monthly meetings in November or December 2011, voted and approved.

September Mystery Meal

From Mike and Jani Shoemaker

We were excited to lead a mystery meal and enjoyed having 15 members join us that beautiful fall day. Lunch was in Elizabeth Colorado and a special visit was arranged at the Rambler Ranch. Terry has 115 acres with his personal collection of over 340 fully restored cars in 3 buildings and hundreds of other cars in his junk yard.. We enjoyed ice cream at his 1950's gas station too.

Thank you to everyone who came and made our day another fun filled one with DtRC members.
